These Terms of Service ("Terms") govern your access to and use of the GROW Digital Wealth platform. GROW Digital Wealth (思睿数字财富) ("GDW", "we", "us", "our") operates this website (growdigitalwealth.co), the staff application used by advisory firms, and the client portal used by their clients (together, the "Platform").

GDW provides the technology and infrastructure that lets independent financial-advisory firms and multi-family offices ("Firms") serve their clients. Asset-management and client-account services referred to in these Terms — for example the holding of client assets and the operation of deposit and withdrawal accounts — are provided by GROW Asset Management (HK) Limited, a company licensed in Hong Kong, and/or by the relevant Firm, and not by the Platform itself.

These Terms apply to everyone who uses the Platform: Firm staff (advisors, operations and compliance users) and end clients. By using the Platform you agree to these Terms.

Staff accounts are created when a Firm registers on the Platform or invites a colleague; the Firm is responsible for whom it authorises. Client accounts are created by advisor invitation, or by registration through the client portal.

You must provide accurate, current and complete information and keep it up to date. You are responsible for keeping your login credentials confidential and for all activity that takes place under your account. Please tell us promptly if you believe your account has been accessed without your permission.

You must be of legal age and have the capacity to enter into these Terms in your jurisdiction.

The Platform helps Firms and their clients manage information and workflow, including portfolio and holdings information, client onboarding and know-your-client (KYC) data collection, document handling and electronic signing, and the relaying of order instructions to the relevant Firm or execution channel.

The Platform itself does not provide investment advice, recommendations or solicitation. Any advice, recommendation or suitability assessment you receive comes from your advisory Firm and its licensed representatives, who are responsible for it. The Platform is a tool that your Firm uses to serve you; it is not your investment adviser.

Information shown on the Platform, including prices, valuations and analytics, is for general information only and may be delayed or estimated. It is not an offer, and you should not rely on it as the sole basis for any decision.

Where you give an instruction through the client portal — for example approving or rejecting an order, confirming a bank-account declaration, or signing a document electronically — that instruction or signature is binding on you to the same extent as a written, hand-signed instruction.

We and your Firm are entitled to act on instructions given through your authenticated account without further verification. You are responsible for reviewing the details of an instruction before you confirm it.

The bank-account declaration and the deposit and withdrawal account details you provide must be true and must belong to you. They are used to operate your account with GROW Asset Management (HK) Limited and/or the relevant Firm.

You agree not to:

• use the Platform for any unlawful purpose or in breach of any applicable law or regulation;
• interfere with or disrupt the Platform, or attempt to compromise its security;
• attempt to gain unauthorised access to any account, system or data;
• scrape, copy or harvest data other than your own;
• upload malware, or content that is false or misleading; or
• misrepresent your identity or your authority to act.

We may investigate suspected breaches and take action, including suspending access, where we reasonably believe a breach has occurred.

Any fees for the services accessed through the Platform — advisory fees, management fees, performance fees or product charges — are as agreed between you and your advisory Firm, or as set out in the relevant product documentation.

GDW does not set or collect those fees through the Platform unless expressly stated. Where GDW charges a Firm for use of the Platform, that is governed by a separate agreement between GDW and the Firm.

The Platform, including its software, design, text, graphics and logos, is owned by GDW or its licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable and revocable licence to use the Platform for its intended purpose.

Except as permitted by law, you may not copy, modify, distribute, reverse-engineer or create derivative works from any part of the Platform. Content you upload remains yours; you grant us the rights we need to host and process it in order to provide the service.

The Platform relies on third-party providers, including cloud hosting and storage, email delivery, and AI service providers that process content to power certain features (for example drafting summaries, running analysis, and producing assistant responses). By using the Platform, you accept that data may be processed by these providers as needed to run the service.

AI-assisted features are provided for information and convenience only. Their output is not investment advice, is not guaranteed to be accurate or complete, and must not be relied on without the judgement of a licensed person. Final decisions rest with you and your advisory Firm.

We work to keep the Platform available and secure, but we do not guarantee uninterrupted or error-free operation, and we may suspend access for maintenance, updates or security. To the fullest extent permitted by law, the Platform is provided "as is" and "as available", and we disclaim all implied warranties.

The Platform displays information drawn from third-party sources and from internal records — including market data, prices and net asset values, account balances, holdings and transaction figures, product documents, and AI-assisted content. We use reasonable efforts to keep this information accurate and current, but it is provided "as is", may contain errors, omissions or delays, and we do not warrant its accuracy or completeness. Information shown on the Platform is not an official record: the official record is the statements and confirmations issued by your advisory Firm or GROW Asset Management (HK) Limited, and you should verify displayed information against those. To the extent permitted by law, we are not liable for any loss arising from reliance on information displayed on the Platform.

Nothing in these Terms excludes or limits any liability that cannot lawfully be excluded or limited (for example liability for fraud, or for death or personal injury caused by negligence). Subject to that, and to the extent permitted by law, GDW is not liable for indirect, incidental or consequential loss, or for loss of profit, data or goodwill. GDW's total aggregate liability arising out of or in connection with the Platform is limited to the amount (if any) you paid to GDW for the Platform in the twelve months before the event giving rise to the claim.

You agree to indemnify GDW against claims, losses and costs arising from your breach of these Terms or your misuse of the Platform.

You may stop using the Platform at any time. We may suspend or terminate your access if you breach these Terms, if we are required to by law or a regulator, if your Firm's arrangement with us ends, or where necessary to protect the Platform or other users. Where practicable and lawful, we will give notice.

On termination, provisions that by their nature should survive — including those on intellectual property, disclaimers, liability and governing law — continue to apply. Your records may be retained as required by law; see the Privacy Policy.

We may update these Terms from time to time. When we make a material change, we will notify you within the Platform and update the last-updated date shown at the top of this page.

Your continued use of the Platform after a change takes effect means you accept the updated Terms. If you do not agree to a change, you should stop using the Platform.

These Terms are governed by the laws of the Hong Kong Special Administrative Region of the People's Republic of China. You and GDW submit to the exclusive jurisdiction of the courts of Hong Kong SAR.
